1. Introduction

These Terms of Service ("Terms") govern your use of the website educhain.fyi and any services, products, or solutions provided by Educhain Limited ("Company", "we", "us", or "our"), a company registered in England and Wales.

2. Services

Educhain Limited provides Web3 infrastructure development, AI systems and automation, software platform engineering, and related consulting services ("Services"). The specific scope, deliverables, and timelines for any engagement will be defined in a separate Statement of Work ("SOW") or service agreement.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By engaging our Services, you represent and warrant that you meet these requirements.

4. Intellectual Property

4.1 Our Intellectual Property

All content on this website, including but not limited to text, graphics, logos, code, and design elements, is the property of Educhain Limited and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

4.2 Client Work

Unless otherwise agreed in writing, upon full payment for Services rendered, the intellectual property rights in custom deliverables created specifically for the client shall transfer to the client. Pre-existing tools, frameworks, libraries, and methodologies developed by Educhain Limited remain our property.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of an engagement. This obligation survives the termination of any agreement between the parties for a period of five (5) years.

6. Payment Terms

Payment terms, including rates, milestones, and schedules, will be specified in the applicable SOW or service agreement. Unless otherwise stated:

  • Invoices are due within 30 days of issue
  • Late payments may incur interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
  • All prices are exclusive of VAT unless otherwise stated

7. Limitation of Liability

To the fullest extent permitted by law:

  • Our total liability for any claim arising from our Services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
  • Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law

8. Warranties and Disclaimers

Our Services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality work, we make no warranties, express or implied, regarding the suitability, reliability, or accuracy of our Services for any particular purpose.

We do not warrant that the website will be uninterrupted, error-free, or free from viruses or other harmful components.

9. Termination

Either party may terminate an engagement by providing 30 days' written notice. Upon termination:

  • All outstanding invoices become immediately due and payable
  • Work completed up to the date of termination shall be delivered to the client
  • Confidentiality obligations survive termination

10. Indemnification

You agree to indemnify and hold harmless Educhain Limited, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our Services or violation of these Terms.

11. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations due to events beyond their reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via our website. Continued use of our Services after changes constitutes acceptance of the revised Terms.
